The terms of sales are firstly held by SARL CLOS DES MILLESIMES, named « CLOS DES MILLESIMES »  and secondly by every natural person or juridical person wanting to conclude an online purchasing at  www.closdesmillesimes.com, named « buyer ».

ARTICLE 1 - PRODUCTS

The products for sale on the site are each subject to a description. Texts and photographs illustrating the products are not contractual. The products comply with the applicable regulations relating to safety and health and the protection of consumers when they are placed on the market. The sale of alcohol in France is prohibited to minors under the age of 18 years. Accordingly, the Purchaser shall be, at least, 18 years old on the day of placing the order or the minimum legal age greater than 18 years in the resident country where the order is placed if outside France.

Alcohol abuse is dangerous for health. Please consume and enjoy in moderation.

ARTICLE 2 - ORDERS

Orders shall be taken into consideration after acceptance of the order by the seller and receipt of full payment. Payment must be made in full upon confirmation of the order. Exceptionally, the Seller may accept payment deadlines.

An invoice shall be issued by the Seller and made available to the Purchaser.

The Seller reserves the right to refuse any order for legitimate reasons.

Any changes to the order by Purchaser after confirmation of order is subject to express acceptance by the Seller.

If the products ordered are unavailable delivery (including out of stock), the Seller shall immediately notify Purchaser and may propose a substitute product of same quality and equivalent price. In case of disagreement, the Purchaser is refunded.

ARTICLE 3 - PRICE

Prices on our website are expressed in Euroes and displayed with taxes for delivery within France.

Shipping costs are charged depending on the country of destination and the number of bottles ordered. For in-stock items, shipping costs will be billed at time of sale. For pre-arrival items, shipping costs will be charged when the wines are shipped based on the current shipping rates, visible here. Shipping costs must be paid before wines are shipped.

Title passes to the buyer in France, and buyer accepts for the seller to engage a common carrier to transport the wines on his behalf. All taxes, duties, and other additional fees are the sole responsibility of the buyer.

The total amount indicated in the order, once accepted by Seller, is the final price to be paid. The Seller reserves the right to modify its prices at any time, or to charge for future shipping costs.

Penalties in the amount equal to three times the legal interest rate shall be paid to the Seller in the event of late payment.

ARTICLE 4 - DELIVERY

The products are delivered to the address specified by the Purchaser when ordering. Any changes to the delivery address, when possible, are subject to an administrative fee.

For delivery in France, the Seller agrees to deliver the products within seven (7) days after receipt of order unless otherwise indicated in the acceptance of the order.

For deliveries outside of France and considering that international delivery are subject to factors beyond the control of the Seller, the Seller agrees to make delivery within a reasonable time. Delivery times outside of France are indicative and not binding.

In the case of errors in the delivery address or incomplete information submitted by the Purchaser, the Seller can not be held responsible for failure to deliver, and the Purchaser shall be responsible for additional shipping costs.

Delivery is carried out by an independent carrier. A delivery note must be signed by the Purchaser upon receipt to verify compliance and state of product packaging.

In case of damage or partial loss of the product, the Purchaser shall always make reservations at the reception on the delivery slip and a double is addressed to the Seller and, within three days of receipt, notify the carrier reserves by registered letter with acknowledgment of receipt.

If the product does not comply with the order, the Purchaser shall submit, on the day of delivery or the first business day after delivery at the latest, a claim to the Seller to obtain replacement of the product or if the resolution of the sale.

ARTICLE 5 - RETENTION OF TITLE

Products shall remain the ownership of Seller until full payment of all amounts due by Purchaser to Seller. . The transfer of ownership shall occur upon full payment. However, transfer of risk shall occur upon delivery. Purchaser.

ARTICLE 6 - ORDER CANCELLATION

Any request for cancellation of an order by the Purchaser must be made by email or mail before shipping the goods to be taken into consideration.

ARTICLE 7 - OUT OF STOCK

In case of definitive rupture of stock on a product ordered, the Seller shall inform the Purchaser as soon as possible and shall either refund the Purchaser or propose to replace the product with a product of equal or greater quality. In default of acceptance, the Purchaser may request cancellation of the order.

ARTICLE 8 - LIABILITY

Seller shall not be held liable for breach of contract due to a third party in the event of stock or product unavailability, force majeure as defined by the French courts, and generally all external events which do not allow the proper execution of the order.

The Seller shall not be liable for damages arising out of access to or use of the site, including any damage or virus that may infect computer equipment of the Purchaser or any other property. The Seller shall not be liable for any errors or omissions in its website.

ARTICLE 9 - INTELLECTUAL PROPERTY RIGHTS

All items on the Seller's site and the site itself are protected by the legislation on copyright, image rights and/or trademarks. You can not use, distribute, copy, reproduce, modify, alter or transmit the site or parts of it without the prior written consent of Seller.

No right or license for any elements of the site may be attributed without the express written consent of Seller. The Seller reserves the right to pursue any action for infringement of its intellectual property rights.

ARTICLE 10 - HYPERLINKS

Seller may provide links from its site to other sites in the same group or independent sites. These independent sites are neither edited nor controlled by the Seller and do not constitute, in any way, an endorsement or a partnership. The Seller can not therefore be responsible for their content, products, advertising or any elements or services presented on these sites.

ARTICLE 12 - DISPUTE

All contractual provisions set out above shall be governed by French law. We are at your disposal for the settlement of any dispute and the absence of a mutually agreeable solution, any dispute shall be settled before the courts within the jurisdiction of the Paris Court of Appeal.
